Bring Data.

Service agreement

Last updated: November 3, 2026.

This is the standard agreement between Bring Data LTDA ("Bring Data", "we") and the business that buys its AI products ("Client", "you"). After the 20-minute call, you receive a written plan that names your business, the products, the plan, the locations, the go-live date and any setup fee. When you accept that plan by email, it becomes your Order Form, and this agreement and the Order Form together are the contract between us. If the Order Form and this agreement say different things on a point, the Order Form controls on that point.

1. The parties

Bring Data LTDA is a company organized under the laws of Brazil, CNPJ 33.947.215/0001-73, based in Belo Horizonte, Minas Gerais, Brazil. You can reach us at [email protected].

Client is the business named in the Order Form, with the address and the email for notices written there. The person who accepts the Order Form confirms that they are allowed to sign for Client.

2. What the service includes

Bring Data provides the products below as a subscription, per location, on the plan chosen in the Order Form (the "Services"). The AI answers in English and in Spanish, in text and in voice. If the AI can't pick up, the call rings Client's phone as before, and texts are answered when it's back.

2.1 AI Assistant

The AI Assistant answers your website chat and your texts. It understands what the person writes in their own words, asks the qualifying questions you approved, reads the open times on your calendar, offers them and waits for the answer. Then it confirms the booking, writes it to your calendar, asks for the person's contact, sends them a link to add the appointment to their own calendar and sends the reminder. Customers can move or cancel a booking by replying in the same thread, and a cancelled time opens up again on your calendar. After the job, it sends the follow-up you chose, such as the next maintenance that is due or a review request with your Google review link. When it cannot book a job on its own, it books a call with you or your estimator at a time the customer picks.

2.2 Missed-call text-back

When a call to your business number goes unanswered, the caller receives a text from that same number, and the AI Assistant carries the conversation from there to a booking.

2.3 AI voice receptionist

The AI voice receptionist picks up your calls, says it is an AI, answers from your business details, books the visit while the caller is on the line and texts the confirmation. It transfers the call to a person when the caller asks for one or when the request is outside what you approved. You choose in the Order Form which calls it takes: every call, only calls after hours, or only the calls your team did not answer.

2.4 Managed ad spend (Premium plan)

Bring Data runs the ad budget inside Client's own Meta and Google Ads accounts. Every hour the system calculates a cost-per-lead cap for each ad, pauses the ads above the cap and moves budget to the ads that sell. With enough lead volume, the hashed email and the event go to Meta and Google through the Conversions API, so their delivery looks for more people like the ones who buy. Client keeps ownership of its ad accounts, pays the ad budget straight to Meta and Google, and that budget is not part of Bring Data's fee. Bring Data does not spend above the monthly ad budget written in the Order Form. Managed ad spend needs Client to track its sales and share that sales data with Bring Data.

2.5 What comes with every plan

2.6 Where the answers come from

The AI answers from the business details Client gives Bring Data (services, prices, service area, hours and policies) and from the open times on Client's calendar. It quotes only the prices on the price list Client approved and books only the services on the service list Client approved. Section 7.6 says what happens if it does not.

3. Plans, credits and prices

Every plan is priced per location and billed month to month, with no long-term contract. Each location has its own plan and its own credits.

Basic: $199 a month per location

Advanced: $499 a month per location

Premium: $1,290 a month per location

Credits pay for the AI's work. One credit covers one minute of a call with the AI voice receptionist, four text messages sent or received, or ten AI Assistant replies in your website chat.

A text longer than 160 characters counts as more than one message. If you use more credits than your plan includes, each extra credit costs $0.25, added to that month's bill.

Credits are renewed at the start of each month of service, and unused credits do not carry over to the next month. The Order Form says whether a setup fee applies and its amount.

4. Setup and go-live

4.1 Client gives Bring Data what the Services need to run: the business details of section 2.6, access to the calendar or booking software the AI books into, the business phone number the texts and calls use (or a request for a new US number), the details the carriers require to register that number for business texting (legal name, address, tax ID and website), and, for the Premium plan, partner access at advertiser level to the Meta and Google Ads accounts, which Client grants and revokes, and access to the sales data.

4.2 Nothing goes live until Client approves, by email, the wording the AI uses and the calendar it books into.

4.3 The go-live date is written in the Order Form and counts from the day Client sends everything listed in 4.1.

4.4 After go-live, Client tells Bring Data about any wrong answer it finds, and Bring Data corrects the business details or the configuration that caused it.

5. Billing and payment

5.1 A month of service starts on the go-live date and on the same day of each following month. Bring Data charges the monthly fee in US dollars, in advance, at the start of each month of service, by card, with a monthly invoice. The W-8BEN-E form is sent on request. A setup fee, when the Order Form has one, is charged when Client accepts the Order Form.

5.2 Extra credits used in a month are charged with the next monthly fee, at $0.25 each.

5.3 Prices do not include sales or other taxes. Each party pays the taxes on its own income, and Client pays its own bank's fees.

5.4 If a payment fails, Bring Data emails Client. If the fee is still unpaid 10 days after that email, Bring Data may pause the Services until it is paid.

5.5 Bring Data may change the prices in section 3 with 30 days' notice by email. A new price applies only from the first month of service that starts after those 30 days, and Client may cancel before it starts.

6. Term and cancellation

6.1 The contract starts when Client accepts the Order Form and runs month to month.

6.2 Client cancels by email to [email protected], at any time, with no cancellation fee and no reason required. The Services continue until the end of the month of service already paid and stop then. There is no charge after that, and the month already paid is not refunded.

6.3 Bring Data may end the contract with 30 days' notice by email. In that case it refunds the part of the paid month that falls after the end date.

6.4 Either party may end the contract by email if the other party breaks it and does not fix the breach within 15 days after receiving a written description of it.

6.5 Sections 5 (for fees already due), 9, 10, 11, 12, 13, 14, 15 and 16 continue after the contract ends.

7. Our guarantees, in writing

7.1 You approve it first. Nothing goes live until you approve the wording and the calendar it books into.

7.2 STOP ends the texts. If a text goes out to a person after they replied STOP, that month's fee comes back.

7.3 Month to month. Cancel by email at any time, with no cancellation fee and no charge after the paid month ends.

7.4 Your data goes with you. When you leave, you get all your data: contacts, bookings and conversations as CSV files, and recorded calls as audio files.

7.5 The engineer on your call. Ramon is on the call and stays on your account after it.

7.6 The AI stays on your list. If the AI Assistant or the AI voice receptionist quotes a price that is not on the price list you approved, or books a service that is not on the service list you approved, that month's fee comes back.

7.7 Premium: the model has to beat the control. In the first two months of managed ad spend, part of your ad budget runs as a control group, without the model, and the rest runs with it, the same way Bring Data measured its 215% result. If at the end of those two months the ads with the model have not beaten the control group on return on ad spend, measured on the sales you track, Bring Data does not charge the third month's Premium fee. Your ad budget goes to Meta and Google either way. This guarantee applies when Client keeps the ad budget and the sales tracking agreed in the Order Form in place for both months.

7.8 How a guarantee is paid. Client writes to [email protected] within 30 days of the event, with the conversation, booking or call. Bring Data checks the logs and, when the event is confirmed, credits the monthly fee for that location on the next invoice or refunds it, at Client's choice. A guarantee pays back at most one monthly fee per location per month.

8. Texts, calls and consent

8.1 Texts and calls sent through the Services must follow the Telephone Consumer Protection Act (TCPA), the rules of the Federal Communications Commission, the laws of the states where Client and its customers are, and the carriers' rules for business messaging.

8.2 Client's part. The Services text and call only people who contacted Client or agreed to hear from Client. Client is responsible for the consent of every contact it uploads, imports or asks the Services to message, for keeping proof of that consent, and for the content it asks the Services to send. Client does not upload purchased lists. Client's own website, forms and privacy notice tell its customers that texts may follow and that an AI handles their messages and calls.

8.3 Bring Data's part. Bring Data is responsible for the AI telling people that it is an AI (the AI voice receptionist says so when it picks up, and the website chat shows the AI Assistant's name above its first reply), for honoring STOP right away with one confirmation and no further texts, for the HELP reply, for registering Client's business number for business texting with the details Client gives, and for keeping a record of each consent given in a conversation and each STOP, with date and time.

8.4 Each party answers for its own part. If a third party or a regulator makes a claim because of a contact Client messaged without the consent the law requires, Client covers that claim and its costs. If the claim comes from a STOP that was not honored or from an AI that did not say it was an AI, Bring Data covers it.

8.5 Call recording is optional. Recording is off unless Client turns it on in the Order Form. When it is on, the AI voice receptionist tells the caller at the start of the call that the call is recorded, and the recordings are part of Client Data. Client confirms that recording with that notice is allowed in the states where it and its callers are.

9. Client Data

9.1 Ownership. The business details, contacts, bookings, messages, conversations and recordings that Client or its customers send through the Services ("Client Data") belong to Client. Bring Data uses Client Data only to provide the Services to Client and as section 11 allows.

9.2 Where it lives. Client Data is stored on servers in the United States, encrypted in transit and at rest. The Order Form names the hosting provider and the AI model providers. Bring Data's team works from Brazil, so the people who support Client's account open Client Data from Brazil.

9.3 No data of one client serves another. Every record carries Client's identifier and every query filters by it, so a conversation of one client never reaches another client. Bring Data does not use Client Data to train models or to build anything for another client.

9.4 Who opens it. Only the people at Bring Data who need it to provide the Services open Client Data.

9.5 Export. At any time during the contract, and up to 30 days after it ends, Client can ask for a copy of its Client Data. Bring Data sends it within 10 business days: contacts, bookings and conversations as CSV files, and recorded calls as audio files.

9.6 Deletion. Within 30 days after the Services end, Bring Data deletes Client Data from its systems and from its providers and confirms the deletion to Client in writing. It keeps only the invoices, the consent and STOP records of section 8.3 and anything else a law requires it to keep, for as long as that law requires.

9.7 Data that does not enter the Services. Client does not send payment card numbers, Social Security numbers or health information through the Services. The Services are not offered to healthcare providers and are not built to handle protected health information under HIPAA.

9.8 Incidents. When Bring Data learns of unauthorized access to Client Data, it tells Client by email within 72 hours of confirming it and gives Client the information it has that Client needs to respond.

10. Confidentiality

10.1 "Confidential Information" is non-public information that one party gives the other under this contract and that a reasonable person would treat as confidential. It includes Client Data, prices and the terms of the Order Form.

10.2 The receiving party uses the other party's Confidential Information only for this contract, protects it with at least the care it uses for its own, and shares it only with people who need it for this contract and who are bound by the same duty. Bring Data may send Client Data to the hosting and AI model providers named in the Order Form, only to run the Services.

10.3 This section does not cover information that is or becomes public through no fault of the receiving party, that it already knew without a confidentiality duty, that it received from a third party without such a duty, or that it developed on its own. A party may disclose Confidential Information when a law or a court requires it, after telling the other party when the law allows that notice.

10.4 These duties last during the contract and for 3 years after it ends. Section 11 is an exception to this section.

11. Client reference and results

Client authorizes Bring Data to (a) identify Client by name and logo as a customer on its website, portfolio, presentations, technical articles and press materials, (b) publish aggregated and anonymized usage results, such as message volume, response time and resolution rate, with no personal data, and (c) provide copies of this Agreement, invoices and usage reports to any government authority, in Brazil or abroad, in an administrative proceeding, with a request for confidential treatment. Bring Data will send Client any material that names Client before publication, and Client may object in writing within 10 business days. This authorization survives for 10 years after termination and is an exception to the confidentiality obligations of this Agreement.

12. Bring Data's platform

12.1 Bring Data owns the software, the shared platform, the code, the prompts, the model configuration, the templates and the know-how it uses to provide the Services (the "Platform"), whether they existed before this contract or Bring Data made them while performing it, including improvements made while serving Client. This contract transfers no ownership of the Platform to Client.

12.2 During the contract, Bring Data grants Client a non-exclusive, non-transferable license to use the Services and the Platform, through the access Bring Data gives it, for Client's own business. The license ends when the contract ends.

13. What Bring Data does not promise

13.1 The AI's answers come from a language model working from Client's business details, and they can contain mistakes. Section 4.4 and the guarantees in section 7 say what Bring Data does about them.

13.2 Except for the guarantees in section 7, Bring Data does not promise a number of bookings, leads, sales or revenue.

13.3 Texts travel through carriers and their filters, calls reach the AI only when Client's number forwarding is in place, and Meta, Google Ads and calendar software can fail, change their rules or reject an account. Bring Data does not control those companies and is not responsible for what they do.

13.4 This contract does not state that Bring Data holds any insurance policy, security certification or audit report. Except for what is written in this contract, the Services come as they are, without implied warranties.

14. Limit of liability

14.1 Each party's total liability under this contract is limited to the fees Client paid Bring Data under it in the 3 months before the event that gave rise to the claim.

14.2 Neither party is liable to the other for lost profits, lost revenue or indirect, incidental, special or consequential damages, even if it was told such damages were possible.

14.3 These limits do not apply to Client's duty to pay fees, to Client's responsibility under section 8.4 for contacts messaged without consent, or to damages caused by a party's fraud or willful misconduct.

15. Governing law and disputes

15.1 When a dispute comes up, the parties first try to solve it by email and on a call within 30 days of one party raising it in writing.

15.2 This contract is governed by the laws of Brazil, and the courts of Belo Horizonte, Minas Gerais, Brazil, decide disputes that the parties do not solve between themselves.

15.3 The English version of this contract is the only binding version.

16. General terms

16.1 Bring Data acts as an independent contractor. This contract creates no employment, partnership, joint venture or agency between the parties.

16.2 This agreement and the Order Form are the whole contract between the parties on their subject and replace any earlier proposal or discussion on it.

16.3 Bring Data may update this standard agreement. It emails Client 30 days before a change takes effect, and Client may cancel before that date if it does not agree. Until then, the earlier version applies.

16.4 Neither party transfers this contract to another company without the other party's written consent, except to a company that takes over its whole business.

16.5 Notices go by email to the addresses in the Order Form and to [email protected]. Email counts as writing everywhere in this contract.

16.6 If a clause of this contract is found invalid, the rest stands.
